Moduulz Beta Participation Agreement

This Beta Participation Agreement ("Agreement") is a legal contract between you ("Tester") and Moduulz ("Company"). By completing this form or accessing the Beta Application, you agree to be bound by the following terms.

  1. Confidentiality & Non-Disclosure
    You acknowledge that the Beta Application contains trade secrets and "Confidential Information." You agree to keep all information regarding the Application strictly confidential.
    • Restrictions: You may not share, record, publish, take screenshots of, or stream the Application to any third party (including on social media platforms like X, Reddit, or LinkedIn) without our prior written consent.
    • Standard of Care: You agree to protect this information with the same degree of care you use to protect your own confidential information, but in no case less than reasonable care.

  2. Grant of License & Restrictions
    Moduulz grants you a personal, non-exclusive, non-transferable, and revocable license to use the Application solely for the purpose of testing and providing feedback.
    • No Ownership: You acknowledge that Moduulz retains all ownership, right, title, and interest in and to the Application.
    • Prohibited Actions: You agree not to copy, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application.

  3. Feedback Assignment
    You agree to provide suggestions, bug reports, and other feedback ("Feedback"). You hereby assign to Moduulz all rights, title, and interest in and to such Feedback on a worldwide basis. We may use your Feedback for any purpose without attribution or compensation to you.

  4. Beta Communications
    As a condition of participating in this Beta, you consent to receive email communications from Moduulz regarding product updates, bug reports, and feedback surveys. You acknowledge that opting out of these communications may result in the termination of your access to the Beta.

  5. User Content License
    You retain ownership of any data, files, or content you upload to the Application ("User Content"). However, you grant Moduulz a worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display your User Content solely as necessary to provide and improve the Application during the Beta.

  6. Indemnification
    You agree to indemnify and hold Moduulz harmless from any claims, damages, liabilities, costs, and fees (including legal fees) arising from:
    • Your use or misuse of the Application;
    • Your violation of this Agreement;
    • Any User Content you upload that violates the rights of a third party.

  7. Account Security
    You are responsible for maintaining the confidentiality of your login credentials. You agree to notify Moduulz immediately of any unauthorized access to your account. Moduulz is not liable for any loss or damage arising from your failure to protect your credentials.

  8. "As Is" Status & Data Risks
    THE APPLICATION IS A PRE-RELEASE BETA VERSION AND IS PROVIDED "AS IS" AND "WITH ALL FAULTS."
    • Instability: The Application may contain bugs, errors, and cause data loss or system crashes.
    • Data Wipes: Moduulz reserves the right to wipe, reset, or delete your account data at any time without notice.
    • No Liability: To the maximum extent permitted by law, Moduulz shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Application.

      • Note for Australian Users: Nothing in this Agreement excludes, restricts, or modifies any guarantees, rights, or remedies implied by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) which cannot be excluded by law. To the extent permitted, our liability for a breach of a non-excludable guarantee is limited to the re-supply of the services or the cost of having the services supplied again.


  9. No Compensation
    Participation in this Beta program is voluntary. You acknowledge that you are not an employee or contractor of Moduulz and are not entitled to any wages, benefits, or compensation for your participation.

  10. Eligibility
    You represent and warrant that:
    • You are at least 18 years of age.
    • You are not currently employed by, acting as a consultant to, or affiliated with a direct competitor of Moduulz.

  11. Privacy & Telemetry
    You consent to the Application automatically collecting usage data, crash logs, and performance metrics ("Telemetry") to assist us in improving the product. This data will be handled in accordance with our Privacy Policy.

  12. Term & Termination
    Moduulz may terminate your access to the Beta Application at any time, for any reason. Your obligations regarding Confidentiality, Feedback Assignment, and Limitations of Liability shall survive the termination of this Agreement.

  13. Governing Law
    This Agreement shall be governed by the laws of Australia, without regard to its conflict of law provisions.
